Terms of Service

1. Acceptance of Terms
By accessing or using the NectAll mobile application and website (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
NectAll is a networking and event platform that allows users to share and exchange social profiles through QR codes, manage connections and rooms, and create or attend events with free or paid tickets. Paid ticket payments are processed by a third-party payment provider and settle directly to the event organizer's bank account. NectAll does not operate a wallet for organizer ticket revenue and does not hold ticket sale proceeds for organizers.
3. User Accounts
- You must be at least 13 years old to create an account.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete information when creating your account.
- One person may not maintain more than one account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Impersonate another person or misrepresent your identity.
- Share content that is offensive, abusive, defamatory, or infringes on the rights of others.
- Attempt to gain unauthorized access to other users' accounts or our systems.
- Use automated tools, bots, or scripts to access the Service without our permission.
- Interfere with or disrupt the Service or its infrastructure.
- Use the Service to spam or send unsolicited communications to other users.
- Create fake, fraudulent, or misleading events, or solicit payment for events you do not intend to host.
5. User Content
You retain ownership of the content you provide through the Service, including your profile information, social media links, and event materials. By using the Service, you grant NectAll a limited license to display and share that content as necessary to provide the Service (for example, when your QR code is scanned, your username is searched, or your event is listed).
6. Event Rooms
- Event organizers are responsible for the rooms they create and the content within them.
- By joining an event room, you agree to share your profile information with other room participants.
- NectAll reserves the right to remove rooms that violate these terms.
7. Event Ticketing
NectAll provides tools for organizers to create events, sell free or paid tickets, and check in attendees. Important:
- The event organizer (the person or organization that creates the event) is solely responsible for the event itself, including accuracy of details, delivery of the experience or product sold, safety, compliance with local laws, and communications with attendees.
- NectAll is a technology platform. We are not the seller of tickets, not a party to the contract between buyer and organizer, and not an agent for holding organizer funds.
- We may deactivate or remove events that violate these terms or our policies. Deactivation does not make NectAll responsible for refunds or disputes arising from that event.
- Organizers who sell paid tickets must connect a valid payout bank account. Without it, paid tickets cannot be sold.
8. Payments, Platform Fees & Fund Flow
Paid ticket purchases are processed by our payment partner Paystack (or another processor we designate). By buying or selling paid tickets, you also agree to that processor's terms.
- NectAll does not hold ticket revenue for organizers. At the point of a successful paid purchase, payment is split: the organizer's share is routed directly to the organizer's bank account via the payment processor's split / subaccount features, and NectAll retains only its disclosed platform fee.
- The platform fee percentage is shown when you create paid tickets and on payout settings. It may be updated by NectAll; the rate in effect at purchase time applies to that sale.
- Payment processor fees, settlement timing, bank verification, and payout success are governed by the processor and the organizer's bank. NectAll is not liable for delays, failed settlements, or bank errors outside our control.
- NectAll does not provide escrow, custody, or a ticket-revenue wallet for organizers. We are not a bank, payment institution for organizer balances, or money transmitter of organizer ticket proceeds.
9. Refunds, Cancellations & Disputes
Unless required otherwise by applicable law:
- All ticket sales are final as between NectAll and the buyer. NectAll does not process refunds of ticket purchases.
- Any refund, cancellation, reschedule, or chargeback related to an event is solely between the buyer and the event organizer. The organizer is responsible for deciding refunds and for paying any refund they agree to (or that law requires them to pay).
- Because organizer proceeds settle directly to the organizer's bank, NectAll cannot reverse or reclaim those funds on a buyer's behalf.
- Buyers should contact the event organizer first for refund or event issues. Organizers should state their own refund policy clearly to attendees where required.
- Chargebacks and payment disputes initiated with a card issuer or Paystack may involve the organizer and/or NectAll as the merchant of record for the platform fee portion only. Organizers agree to cooperate and remain responsible for the underlying ticket dispute.

10. Intellectual Property
The NectAll name, logo, and all related branding, design, and software are the property of NectAll. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.
11. Termination
We may suspend or terminate your account, deactivate events, or restrict features at any time if you violate these terms or engage in conduct we determine is harmful to other users or the Service. You may delete your account at any time through the app settings or by contacting us at nectall.app@gmail.com.
12. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
To the maximum extent permitted by law, NectAll shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of data, connections, business opportunities, or profits.
Without limiting the foregoing, NectAll is not liable for: (a) the quality, safety, legality, or occurrence of any event; (b) acts or omissions of organizers or attendees; (c) refunds, cancellations, or disputes between buyers and organizers; (d) funds settled to an organizer's bank account; or (e) failures or delays of Paystack, banks, or other third-party providers.
13. Third-Party Services
The Service uses third-party services that have their own terms. By using the Service, you also agree to the applicable terms of these providers, including:
- Paystack Terms (payments and payouts)
- Google Play Services
- Google Analytics for Firebase
- Expo
- Apple App Store
14. Changes to These Terms
We may update these Terms of Service from time to time. We will notify you of significant changes by posting a notice on the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the updated terms.
